Confidentality agreement

REGARDING PRODUCTION OF COMMERCIAL CONTENT FOR MOFILM’S BRAND PARTNER (“PROJECT”)
BETWEEN:

(1) MOFILM LTD, of White Lion House, 64a Highgate High Street, London N6 5HX (“MOFILM”); and
(2) YOU (“You”)

In relation to the Project, MOFILM may disclose to you details of the Project and/or of MOFILM’s and Brand Partner’s business. In consideration of MOFILM agreeing to disclose to you such details, you hereby agree as follows:

1. The relationship between us is one of confidentiality.
2. All or any outlines, designs, plans, disks, content, information, ideas or other matters whatsoever relating to the Project, the Company’s business or to the Company generally which are disclosed or made available to you (“Confidential Information”) are confidential to us and are supplied to you as secret and confidential material except insofar as the same has already been published.
3. You will not, without our prior written consent, divulge, disclose or permit the disclosure of any part or parts of the Confidential Information to any third party, whether in writing, verbally, electronically or by any other means.
4. All right, title and interest in all Confidential Information shall be owned by, and remain vested in, us and you shall not exploit, deal with or make use of the same in any way and in any media.
5. You undertake that you will on request return to us (or, on request, delete, erase or destroy) any material comprising part of and/or derived from the Confidential Information.
6. This Confidentiality Agreement shall be construed in accordance with English Law and the Courts of London, England shall have jurisdiction.
